Please read these Terms and Conditions ("Terms") carefully before using the Outerly platform, including our website at outerly.co and our mobile application (collectively, the "Service"), operated by Urban Outdoors, Inc. ("Outerly," "we," "our," or "us").

By creating an account, purchasing a ticket or membership, or participating in any walk organized through the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility
You must be at least 18 years old to create an account or purchase tickets or memberships. By using the Service, you represent and warrant that you meet this requirement. We reserve the right to suspend or terminate accounts found to be held by minors.

2. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information when registering and to keep that information up to date.

We reserve the right to suspend or terminate your account at our discretion, including for violation of these Terms, abusive conduct toward other participants or staff, or any behavior that we determine is harmful to the Outerly community.

3. The Service
Outerly organizes small-group walking experiences in urban environments ("Walks") designed to facilitate social connection. The Service allows you to discover, book, and attend Walks in participating cities.We reserve the right to modify, cancel, or reschedule any Walk at any time, including due to weather, safety concerns, insufficient attendance, or circumstances outside our control. In the event of a Walk cancellation by Outerly, we will make a reasonable effort to notify registered participants in advance and provide credit or an alternative walk where appropriate.Outerly does not guarantee that you will form personal connections, friendships, or relationships as a result of participating in any Walk. The social outcomes of participation are inherently personal and cannot be promised or warranted.

4. Tickets, Memberships, and FeesSingle-Event Tickets
Single-event tickets grant access to one specific Walk. The current ticket price is $10 per ticket. Ticket prices are subject to change at any time; the price displayed at the time of purchase is the price you will be charged.

Membership Plans
Outerly offers the following recurring membership plans:
Monthly Membership: $18.00 per month
3-Month Membership: $50.00 per 3-month period
Annual Membership: $180.00 per year

All membership plans are recurring subscriptions. By purchasing a membership, you authorize Urban Outdoors, Inc. to charge your payment method automatically at the start of each billing period (monthly, every 3 months, or annually, as applicable) until you cancel. Charges are processed through Stripe.

Membership pricing is subject to change. If we change the price of your current plan, we will notify you at least 7 days before the new price takes effect. Continued use of the membership after the price change constitutes your acceptance of the new price.

Recurring Charges — Important Notice
YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW AND YOUR PAYMENT METHOD WILL BE CHARGED AT THE END OF EACH BILLING PERIOD UNLESS YOU CANCEL BEFORE THE RENEWAL DATE. YOU ARE RESPONSIBLE FOR CANCELING YOUR MEMBERSHIP IF YOU DO NOT WISH TO BE CHARGED FOR THE NEXT PERIOD.

5. Cancellation Policy

Canceling Your Membership
You may cancel your membership at any time through your account settings or by contacting us at support@outerly.co. Cancellation takes effect at the end of your current billing period. You will retain access to membership benefits through the end of the paid period.We do not prorate or refund any portion of a membership fee for a billing period already in progress, regardless of how early in the period you cancel.

Canceling a Walk Reservation

All Walk cancellations must be made through your account. The following cancellation fee schedule applies:

More than 48 hours before the Walk: full walk credit issued to your account, applicable to a future Walk. No charge forfeited.
Between 24 and 48 hours before the Walk: your walk fee is forfeited. No credit issued. No additional fee charged.
Between 2 and 24 hours before the Walk: your walk fee is forfeited and an additional $10.00 late cancellation fee will be charged to your payment method ($20.00 total out of pocket). No credit issued.
2 hours or less before the Walk, or no-show (failure to attend without canceling): your walk fee is forfeited and an additional $20.00 no-show fee will be charged to your payment method ($30.00 total out of pocket). No credit issued.
All cancellation and no-show fees are non-refundable and are charged on top of the original walk fee. By registering for a Walk, you authorize Urban Outdoors, Inc. to charge these fees to your payment method if applicable. Time of cancellation is determined by the timestamp recorded in your account at the time of cancellation.

6. No Refunds
ALL SALES ARE FINAL. WE DO NOT OFFER REFUNDS ON SINGLE-EVENT TICKETS OR MEMBERSHIP FEES UNDER ANY CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO CHANGE OF PLANS, DISSATISFACTION WITH A WALK, FAILURE TO ATTEND, OR ACCOUNT CANCELLATION MID-PERIOD.

Exceptions to this policy will not be made except as required by applicable law. If you believe you were charged in error, please contact us at support@outerly.co within 14 days of the charge and we will investigate.

Chargebacks initiated without first contacting Outerly to resolve a dispute may result in permanent suspension of your account.

7. Photography, Video, and Media Release

Walks organized by Outerly may be documented through photographs, video recordings, and other media captured by Outerly staff, contractors, or authorized partners ("Outerly Media").

By participating in a Walk, you grant Urban Outdoors, Inc. a perpetual, royalty-free, worldwide, non-exclusive license to use your likeness, image, and voice as captured in Outerly Media for any lawful purpose, including but not limited to:

Marketing and promotional materials
Social media content across all platforms (including but not limited to Instagram, TikTok, Facebook, and YouTube)
The Outerly website and mobile application
Press, editorial, and partnership materials
Email campaigns and newsletters
You waive any right to inspect or approve the finished product in which your likeness appears, and any right to compensation for the use of your likeness in connection with the above purposes.

If you do not wish to be photographed or filmed during a Walk, please contact us at support@outerly.co before the Walk. Because Walks are self-led and take place in public spaces, we cannot guarantee your complete exclusion from photos or video captured in those environments, but we will make reasonable efforts to honor your request in any media we control.You retain ownership of any personal photographs or videos you take during a Walk. By sharing such content with Outerly (including by tagging us on social media or submitting content directly), you grant us a non-exclusive license to repost, share, or feature that content with attribution.

8. Community Standards and Participant Conduct

Outerly Walks are inclusive, welcoming social experiences. All participants are expected to treat fellow walkers, hosts, and Outerly staff with respect. The following behaviors are grounds for immediate removal from a Walk and suspension or termination of your account, without refund:Harassment, discrimination, or threatening behavior toward any participant or hostPhysical contact with another participant that is unwanted or non-consensualConduct that endangers the safety of othersDeliberate disruption of the Walk experienceUse of the Service to solicit, recruit, or market to other participants without our written consentOuterly reserves the right to remove any participant from a Walk at any time for conduct that, in the judgment of the host or Outerly staff, is inconsistent with our community standards.

9. Nature of the Service — Information Platform Only
OUTERLY IS AN INFORMATION AND COMMUNITY PLATFORM. URBAN OUTDOORS, INC. PROVIDES WALK SCHEDULING INFORMATION, GROUP MATCHING, AND LOGISTICS COORDINATION AS AN INFORMATIONAL SERVICE ONLY. WE DO NOT OWN, OPERATE, CONTROL, OR SUPERVISE THE PUBLIC SPACES IN WHICH WALKS TAKE PLACE. WE ARE NOT A TOUR OPERATOR, GUIDE SERVICE, FITNESS PROVIDER, OR OUTDOOR RECREATION COMPANY.Walk hosts are independent community facilitators, not employees or agents of Urban Outdoors, Inc. Outerly is not responsible for the acts or omissions of any Walk host, participant, or third party before, during, or after a Walk.YOU ACKNOWLEDGE THAT YOUR PARTICIPATION IN ANY WALK IS ENTIRELY VOLUNTARY AND AT YOUR OWN RISK. OUTERLY'S ROLE IS LIMITED TO PROVIDING INFORMATION ABOUT WHEN AND WHERE WALKS OCCUR AND FACILITATING GROUP MATCHING. WHAT HAPPENS DURING A WALK IS OUTSIDE OUR CONTROL AND OUTSIDE THE SCOPE OF OUR RESPONSIBILITY.

10. Assumption of Risk

Walking in urban environments involves inherent physical and personal risks, including but not limited to: uneven or slippery surfaces, traffic and road hazards, weather and environmental conditions, the physical demands of walking, contact with strangers, and the general risks of being in a public space. These risks exist whether or not Outerly is involved.BY REGISTERING FOR OR PARTICIPATING IN ANY WALK, YOU EXPRESSLY ACKNOWLEDGE THESE RISKS AND ASSUME FULL RESPONSIBILITY FOR ANY INJURY, ILLNESS, ACCIDENT, LOSS, THEFT, PROPERTY DAMAGE, OR ANY OTHER HARM THAT OCCURS BEFORE, DURING, OR AFTER A WALK, REGARDLESS OF CAUSE.You represent that you are in adequate physical health to participate in the Walk you have registered for. If you have a medical condition that may affect your ability to participate safely, you are solely responsible for consulting a healthcare provider before attending. Outerly has no obligation to assess your fitness to participate.

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, URBAN OUTDOORS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, HOSTS, AND AGENTS SHALL NOT BE LIABLE FOR ANY CLAIM, LOSS, INJURY, DEATH, PROPERTY DAMAGE, OR OTHER HARM OF ANY KIND ARISING FROM OR RELATED TO: (A) YOUR PARTICIPATION IN ANY WALK; (B) THE ACTS OR OMISSIONS OF ANY WALK HOST OR OTHER PARTICIPANT; (C) CONDITIONS IN ANY PUBLIC SPACE WHERE A WALK TAKES PLACE; OR (D) ANY OTHER EVENT OR CIRCUMSTANCE OCCURRING DURING OR IN CONNECTION WITH A WALK.THIS INCLUDES, WITHOUT LIMITATION, ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF URBAN OUTDOORS, INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.TO THE EXTENT ANY LIABILITY IS FOUND DESPITE THE FOREGOING, OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE LESSER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification
You agree to indemnify, defend, and hold harmless Urban Outdoors, Inc. and its officers, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your participation in any Walk, your violation of these Terms, or your violation of any third-party rights.

13. Intellectual Property
All content on the Service — including text, graphics, logos, walk descriptions, and software — is the property of Urban Outdoors, Inc. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on the Service without our express written permission."Outerly" and related marks are trademarks of Urban Outdoors, Inc. You may not use our trademarks without our prior written consent.

14. Dispute Resolution
We hope to resolve any concerns informally. If you have a dispute with us, please contact us first at support@outerly.co and give us a reasonable opportunity to address it.These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Maryland, and you consent to personal jurisdiction in those courts.TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST URBAN OUTDOORS, INC.

15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 7 days before the changes take effect. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

16. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 9, 10, 11, 12, 13, and 14 survive termination of these Terms.

17. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Urban Outdoors, Inc. regarding your use of the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
